Terms of Service
The short version: you buy credits, you and the people you share with spend them on the assistant, and the assistant is sometimes wrong. The longer version follows.
Acceptance
Using Portal means you accept these terms. If you are using it on behalf of an organisation, you are confirming you can agree on its behalf. If you do not agree, do not use the service.
What Portal is
Portal is a chat assistant built on third-party AI models, paid for with prepaid credits held in a balance you can share with other people. It can search the web, read files you upload, generate images, run prompts on a schedule, and connect to outside tools you authorise.
Your account
- You need to be at least 16 years old.
- One account per person, with accurate details. Keep your sign-in to yourself.
- Everything done from your account is treated as done by you, including credits it spends. Tell us promptly if you think someone else has access.
Credits and payment
- Credits are prepaid and spent as you use the assistant, metered on what each request actually costs to run. Bigger models and generated images cost more, and the price of a reply is shown next to it.
- A top-up is between $3 and $500. New accounts get 300 credits once, when the account is made.
- Purchased top-up credits do not expire. A credit plan states its carry-over and expiry policy before you subscribe. Credits have no cash value, cannot be transferred out of Portal, and cannot be exchanged for money.
- Credits are non-refundable once bought, except where the law where you live says otherwise. If credits are spent because something broke on our side, write to us and we will put them back.
- Top-ups are one-time payments. An optional monthly or annual subscription renews automatically until canceled, with its price and credit allowance shown before checkout. Cancel through Billing to stop future renewals. Annual payments fund allowances released monthly throughout the paid year. Already-issued credits follow the policy agreed when you subscribed. Prices may change, and we will give at least 30days’ notice before they do.
Who processes your payment depends on its currency and the available checkout:
- In Naira, payment normally runs through Paystack. They process the payment; Portal is the seller and accounts for applicable taxes.
- In US dollars, payment normally runs through Stripe. They process the payment; Portal is the seller and accounts for applicable taxes.
- If checkout is routed through Polar instead, they act as merchant of record and are the seller for that purchase. Their checkout terms cover the payment.
Either way, we deliver the service and support it, and these terms cover that.
Your credit balance, and circles
Your credits are your own, and your chats are billed to them. A circle lets you share a separate credit balance with other people. It has consequences you should agree to before you put money in:
- Anyone you add to a circle can spend all the credits shared with it. There are no per-person limits. Everyone on it can see everyone’s usage, and that visibility is the only control. Add people you would lend money to.
- A circle has an admin, which is whoever started it. Only the admin lets people in, removes them, or changes how the circle is shared, and every one of those decisions is recorded.
- The admin cannot spend the circle’s credits. Their own chats come out of their own credit balance. This is deliberate: credits you share with other people stay available to them.
- Credits belong to the balance, not to whoever paid. Leaving a circle does not refund your share.
- A circle keeps its credits when everyone leaves, so a former member can be let back in and use what is still there.
Group chats
- Everyone in a group chat can read the entire thread, including what was said before they joined. Don’t put anything in one you wouldn’t want the whole group to read.
- You are asked before you join one, never added silently, and you can leave at any time.
- Your own turns are billed to your own credits unless you are spending from a circle you share.
Acceptable use
Don’t use Portal to:
- break the law, or help anyone else to;
- harass, threaten, deceive or impersonate people;
- generate sexual content involving children, or content that sexualises anyone;
- build malware, break into systems, or work out how to hurt people at scale;
- infringe someone else’s copyright, trade marks or other rights;
- resell access, automate bulk requests, or use Portal as infrastructure inside another product;
- reverse-engineer the service, or try to extract the models or prompts behind it;
- upload other people’s private files or personal data without their say-so.
We can suspend an account that does these things. Where we can, we will ask first.
Your content
- What you write and upload stays yours. You give us only the permission we need to run the service: to store it, show it to the people you shared it with, and send it to the model provider that answers you.
- What the assistant writes back is yours to use, as far as we are able to grant that. Similar output may be generated for other people, so don’t assume it is unique to you.
- You are responsible for having the right to upload what you upload.
- Portal itself, its name and its software remain ours. If you send us feedback, we may act on it without owing you anything.
The assistant gets things wrong
- Answers can be confidently mistaken, out of date, or invented. Check anything that matters before you act on it.
- It is not a lawyer, doctor, accountant or financial adviser, and nothing it writes is professional advice.
- What you do with its output is yours to own, including anything you send, publish or sign because of it.
- Replies come from third-party models. We pick good ones and route between them, but we don’t control what they say.
Connected apps
If you connect an outside tool, you are giving the assistant permission to act there on your behalf. That tool’s own terms still apply, and what happens in it is between you and them. Disconnect it and the access ends.
Availability
We will try to keep Portal up and working, but we don’t promise it will always be available. Model providers have outages, features change, and things occasionally break. Maintenance may take the service down briefly. If we retire something you rely on, we will say so in advance.
Suspension and termination
- You can stop using Portal whenever you like, and ask us to delete your account.
- We may suspend or close an account that breaks these terms, or if we stop running the service.
- If we shut Portal down we will give notice, and explain what happens to unspent credits before it happens.
Disclaimers
Portal is provided as-is and as-available. To the extent the law allows, we make no warranties about it: not that it will be uninterrupted, error-free, secure, or fit for a particular purpose.
Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental or consequential loss, lost profits, or lost data, or for anything you did on the strength of something the assistant said. Our total liability is capped at whichever is greater: what you paid us in the twelve months before the claim, or $50. Nothing here limits liability that cannot legally be limited, and your statutory consumer rights are unaffected.
Indemnity
If someone brings a claim against us because of how you used Portal or because you broke these terms, you agree to cover our reasonable costs in dealing with it.
Changes to these terms
We may update these terms. The date at the top says when they last changed, and we will give at least 30days’ notice in the app before a material change takes effect. Continuing to use Portal after that means you accept the new version.
Governing law
These terms are governed by the law of Nigeria, and its courts have jurisdiction over any dispute. If any part of these terms turns out to be unenforceable, the rest still stands.
